TERMS OF SERVICE AND CONDITIONS

1. ACCEPTANCE OF TERMS
By claiming, receiving, or attempting to use the Empire Media Group $500 Gift Card (the "Gift Card"), you ("Recipient," "you," or "your") expressly agree to be bound by these Terms of Service ("Terms"), including all policies, guidelines, and conditions referenced herein. If you do not agree to these Terms in their entirety, you must not claim, accept, or use the Gift Card.
These Terms constitute a legally binding agreement between you and Empire Media Group, including but not limited to its parent companies, subsidiaries, affiliates, partners, marketers, advertisers, investors, agents, employees, contractors, and any third parties involved in the promotion, distribution, or fulfillment of this offer (collectively, "Empire Media Group," "we," "us," or "our").
2. PROMOTIONAL OFFER DESCRIPTION
2.1 Gift Card Value
The Gift Card has a promotional value of Five Hundred Dollars ($500.00 USD) that may be applied toward qualifying purchases of Empire Media Group services.
2.2 Minimum Purchase Requirement
IMPORTANT: The Gift Card may ONLY be redeemed on orders with a minimum purchase amount of Eight Hundred Dollars ($800.00 USD) or more, calculated before taxes, fees, and the Gift Card discount are applied. Orders below $800.00 do not qualify for Gift Card redemption.
2.3 Promotional Nature
This is a limited-time promotional offer provided at the sole discretion of Empire Media Group. The Gift Card has no cash value and cannot be redeemed for cash, check, credit, or any monetary equivalent under any circumstances.
3. ELIGIBILITY REQUIREMENTS
3.1 Age and Capacity
Recipients must be at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater, and must possess the legal capacity to enter into binding contracts.
3.2 Geographic Restrictions
This offer is void where prohibited, restricted, or taxed by law. Recipients are responsible for determining whether participation in this promotion is lawful in their jurisdiction.
3.3 New Customers Only
This promotional offer is intended for new customers of Empire Media Group who have not previously purchased services from us. Empire Media Group reserves the right to verify customer status and deny Gift Card redemption to existing customers or those who have previously received promotional offers.
3.4 One Per Person/Household
Limit one (1) Gift Card per person, household, email address, phone number, billing address, or payment method. Empire Media Group reserves the right to cancel or refuse any Gift Card that appears to violate this limitation.
3.5 Legitimate Recipients Only
Recipients must have legitimately claimed the Gift Card through authorized Empire Media Group channels. Gift Cards obtained through unauthorized means, including but not limited to fraud, theft, purchase from third parties, or automated systems, are void and subject to cancellation without notice.
4. GIFT CARD TERMS AND RESTRICTIONS
4.1 Non-Transferable
The Gift Card is non-transferable and may only be used by the named recipient. The Gift Card may not be sold, traded, bartered, auctioned, or transferred to any third party under any circumstances.
4.2 Not Redeemable for Cash
The Gift Card has no cash surrender value and cannot be redeemed for cash, returned for a refund, or exchanged for cash or credit under any circumstances, except where required by law.
4.3 No Stacking or Combining
CRITICAL RESTRICTION: The Gift Card CANNOT be combined, stacked, or used in conjunction with any other gift cards, promotional codes, discounts, coupons, rebates, special offers, or promotional pricing offered by Empire Media Group. Only one promotional offer may be applied per transaction. Attempts to combine multiple offers will result in automatic cancellation of all promotional benefits.
4.4 Single Use Only
The Gift Card is valid for one-time use only. The entire $500.00 value must be applied to a single qualifying transaction. Any unused portion of the Gift Card value after redemption is forfeited and cannot be carried forward, refunded, or applied to future purchases.
4.5 Expiration
While the Gift Card itself does not have an expiration date once claimed, the promotional offer to receive a Gift Card expires on December 31, 2025, at 11:59 PM Eastern Time. Gift Cards must be claimed by this deadline. Empire Media Group reserves the right to modify or extend this deadline at its sole discretion.
4.6 Service Restrictions
The Gift Card may only be redeemed for services explicitly offered and sold directly by Empire Media Group through its official website (empiremediagroup.site) or authorized sales channels. The Gift Card cannot be used for:
Third-party services or products
Taxes, fees, or shipping charges
Previous purchases or outstanding balances
Gift card purchases
Services sold by unauthorized resellers or affiliates
4.7 Modification of Services
Empire Media Group reserves the right to modify, discontinue, or change the services available for purchase at any time. If a service is discontinued after a Gift Card is claimed but before redemption, Empire Media Group will make commercially reasonable efforts to offer a comparable alternative service of equal or greater value.
5. REDEMPTION PROCESS
5.1 How to Redeem
To redeem the Gift Card:
Add qualifying services totaling $800.00 or more to your cart on empiremediagroup.site
Proceed to checkout
Enter your unique Gift Card code in the designated "Gift Card or Promo Code" field
Click "Apply" to see the $500.00 discount applied to your order total
Complete payment for the remaining balance
5.2 Code Security
You are solely responsible for maintaining the confidentiality and security of your Gift Card code. Empire Media Group is not responsible for lost, stolen, compromised, or unauthorized use of Gift Card codes. Gift Card codes used without authorization will not be replaced or reissued.
5.3 Technical Issues
In the event of technical difficulties preventing Gift Card redemption, you must contact Empire Media Group customer support within seven (7) days of the issue occurring. Empire Media Group will make commercially reasonable efforts to resolve technical issues but is not obligated to honor Gift Cards in cases where technical issues cannot be verified or resolved.
5.4 Verification Rights
Empire Media Group reserves the right to verify the validity of any Gift Card redemption and to request additional information or documentation before processing orders. We may reject or cancel any order that we determine, in our sole discretion, to be fraudulent, suspicious, or in violation of these Terms.
6. CANCELLATION AND REFUND POLICY
6.1 Service Cancellations
If you cancel services purchased with the Gift Card after order completion, any refund will be processed according to Empire Media Group's standard refund policy. The $500.00 Gift Card discount will be deducted from any refund amount. If the refund amount is less than or equal to $500.00, no refund will be issued.
Example: If you purchase $1,000 in services using the Gift Card (paying $500), and later cancel, your maximum refund would be $500 (the amount you actually paid). The $500 Gift Card value is non-refundable.
6.2 Order Modifications
If you modify an order after applying the Gift Card such that the new order total falls below the $800.00 minimum purchase requirement, the Gift Card discount will be automatically removed, and you will be charged the full price for the modified services.
6.3 Partial Cancellations
If you cancel a portion of services from an order placed with the Gift Card, and the remaining services total less than $800.00, Empire Media Group reserves the right to either:
Remove the Gift Card discount and charge you the full price for remaining services, or
Cancel the entire order and process a refund per Section 6.1
7. LIMITATION OF LIABILITY
7.1 Disclaimer of Warranties
THE GIFT CARD AND ALL RELATED PROMOTIONAL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
7.2 No Guarantee of Availability
Empire Media Group does not warrant that:
The Gift Card will be available at all times or will remain available for any specific period
Gift Card redemption will be uninterrupted, timely, secure, or error-free
Any services will be available for purchase when you attempt to redeem your Gift Card
The quality of any services purchased with the Gift Card will meet your expectations
7.3 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMPIRE MEDIA GROUP, ITS AFFILIATES, PARTNERS, MARKETERS, INVESTORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
Your use or inability to use the Gift Card
Any services purchased or not purchased with the Gift Card
Any unauthorized access to or alteration of your Gift Card code
Any technical errors, interruptions, or delays in Gift Card redemption
Any statements or conduct of any third party related to the Gift Card
Any other matter relating to this promotional offer
7.4 Cap on Liability
IN NO EVENT SHALL THE TOTAL LIABILITY OF EMPIRE MEDIA GROUP AND ITS AFFILIATES, PARTNERS, MARKETERS, INVESTORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS EXCEED THE AMOUNT YOU ACTUALLY PAID OUT OF POCKET FOR SERVICES (EXCLUDING THE GIFT CARD VALUE), OR FIVE HUNDRED DOLLARS ($500.00 USD), WHICHEVER IS LESS.
7.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, but shall be enforced to the maximum extent permitted by applicable law.
8. INDEMNIFICATION
8.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Empire Media Group, its parent companies, subsidiaries, affiliates, partners, joint venture partners, marketers, advertisers, investors, licensors, suppliers, officers, directors, employees, agents, contractors, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising from or relating to:
a) Your violation of these Terms or any applicable law or regulation
b) Your use or misuse of the Gift Card
c) Your violation of any rights of any third party
d) Any fraudulent or illegal activity related to your Gift Card
e) Any false, misleading, or inaccurate information provided during Gift Card claim or redemption
f) Any dispute with other users or third parties related to the Gift Card
g) Your access to or use of services purchased with the Gift Card
8.2 Defense and Settlement
Empire Media Group reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects Empire Media Group without our prior written consent.
8.3 Survival
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Gift Card.
9. DISPUTE RESOLUTION
9.1 Informal Resolution
Before filing any formal claim, you agree to first contact Empire Media Group and attempt to resolve any dispute informally by sending written notice to:

You must include: (a) your name and contact information, (b) a detailed description of the dispute, (c) the relief you seek, and (d) your Gift Card code (if applicable). We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
9.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Gift Card (each, a "Dispute") will be resolved through binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes.
Location: Arbitration will take place in the county where you reside or in Philadelphia, Pennsylvania, at your option.
Arbitrator's Authority: The arbitrator has exclusive authority to resolve any Dispute, including disputes about the arbitrability of a Dispute. The arbitrator shall apply applicable law and these Terms and may award the same damages and relief as a court, but only to the extent required to satisfy your individual claim.
Costs: Each party will bear their own costs of arbitration unless otherwise awarded by the arbitrator. Empire Media Group will pay your filing, administration, and arbitrator fees for any arbitration we initiate. For arbitrations you initiate, you will be responsible for filing fees up to the amount charged in court, with Empire Media Group paying the excess.
9.3 CLASS ACTION WAIVER
YOU AND EMPIRE MEDIA GROUP AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ARBITRATION, CLASS ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. Neither you nor Empire Media Group may bring a claim on behalf of other individuals, and the arbitrator may not consolidate claims of multiple persons without the consent of all parties.
If this class action waiver is found to be unenforceable, the entirety of this arbitration provision (Section 9.2 and 9.3) shall be null and void, and any Dispute shall be resolved in court as specified in Section 9.4.
9.4 Exclusive Venue and Governing Law
If for any reason a Dispute proceeds in court rather than arbitration, you and Empire Media Group agree that any judicial proceeding will be brought exclusively in the federal or state courts located in Philadelphia, Pennsylvania. Both parties consent to the exclusive jurisdiction and venue of such courts.
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and the federal laws of the United States, without regard to conflict of law principles.
9.5 Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND EMPIRE MEDIA GROUP WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE GIFT CARD.
9.6 Time Limitation on Claims
You agree that any claim or cause of action arising out of or related to these Terms or the Gift Card must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred, regardless of any statute or law to the contrary.
10. TERMINATION AND SUSPENSION
10.1 Right to Terminate or Suspend
Empire Media Group reserves the right, in its sole discretion, to terminate, suspend, modify, or cancel this promotional offer, any Gift Card, or your ability to use any Gift Card at any time and for any reason, including but not limited to:
Violation of these Terms
Fraudulent or suspicious activity
Abuse or misuse of the promotional offer
Technical or operational issues
Changes in business operations or strategy
Legal, regulatory, or compliance requirements
10.2 Effect of Termination
Upon termination or suspension:
Your Gift Card code will be immediately deactivated
You will lose all rights to use the Gift Card
Any unused Gift Card value will be forfeited
You will not be entitled to any compensation, refund, or replacement
10.3 Survival of Terms
Sections related to Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive termination shall survive any termination or expiration of these Terms.
11. FRAUD PREVENTION AND SECURITY
11.1 Prohibited Activities
You may not:
Use automated systems, bots, or scripts to claim or redeem Gift Cards
Create multiple accounts to claim multiple Gift Cards
Share, sell, or distribute Gift Card codes to third parties
Attempt to circumvent the minimum purchase requirement
Use Gift Cards obtained through fraudulent means
Manipulate pricing or services to artificially meet the minimum purchase threshold
Engage in any activity that violates these Terms or applicable laws
11.2 Detection and Consequences
Empire Media Group employs fraud detection systems and reserves the right to investigate any suspicious activity. If we determine, in our sole discretion, that you have engaged in fraudulent or prohibited activity:
Your Gift Card will be immediately cancelled
Any orders placed with the Gift Card will be cancelled
You may be permanently banned from participating in future promotions
We may pursue legal action and report fraudulent activity to law enforcement
You will be liable for any costs, damages, or losses incurred by Empire Media Group
11.3 Data Collection and Monitoring
By accepting the Gift Card, you acknowledge and consent to Empire Media Group's collection, use, and monitoring of data related to Gift Card claims, redemptions, and usage for fraud prevention, security, analytics, and promotional purposes.
12. INTELLECTUAL PROPERTY
12.1 Ownership
All content, materials, trademarks, logos, service marks, trade names, and intellectual property related to the Gift Card, promotional materials, and Empire Media Group services are and shall remain the exclusive property of Empire Media Group or its licensors.
12.2 Limited License
Subject to your compliance with these Terms, Empire Media Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use your Gift Card solely for its intended personal, non-commercial purpose.
12.3 Restrictions
You may not:
Copy, modify, distribute, sell, or create derivative works of any promotional materials
Use Empire Media Group's trademarks, logos, or branding without prior written permission
Reverse engineer, decompile, or disassemble any technology used in connection with the Gift Card
Remove or alter any copyright, trademark, or proprietary notices
13. PRIVACY AND DATA PROTECTION
13.1 Data Collection
By claiming the Gift Card, you acknowledge that Empire Media Group will collect personal information including your name, email address, phone number, and usage data. This information will be used for Gift Card fulfillment, customer service, fraud prevention, and promotional purposes.
13.2 Marketing Communications
By providing your contact information, you consent to receive marketing communications from Empire Media Group and its partners via email, SMS, phone, and other channels. You may opt out of marketing communications at any time by following the unsubscribe instructions provided.
13.3 Privacy Policy
Your use of the Gift Card is also governed by Empire Media Group's Privacy Policy, available at empiremediagroup.site/privacy-policy, which is incorporated into these Terms by reference.
14. MODIFICATIONS TO TERMS
14.1 Right to Modify
Empire Media Group reserves the right to modify, amend, or update these Terms at any time, in its sole discretion, without prior notice. Modifications will be effective immediately upon posting to empiremediagroup.site or notification to you via email or other communication method.
14.2 Continued Use
Your continued use of the Gift Card after modifications are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Gift Card.
14.3 Material Changes
For material changes that substantially affect your rights or obligations, Empire Media Group will make reasonable efforts to provide advance notice through email or prominent notice on our website.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms, together with any policies referenced herein (including our Privacy Policy and standard Terms of Service), constitute the entire agreement between you and Empire Media Group regarding the Gift Card and supersede all prior agreements, understandings, and communications.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
15.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Empire Media Group's failure to enforce any provision shall not constitute a waiver of that or any other provision.
15.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without Empire Media Group's prior written consent. Empire Media Group may freely assign or transfer these Terms without restriction.
15.5 Force Majeure
Empire Media Group shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, strikes, government actions, internet or telecommunications failures, or pandemics.
15.6 Independent Contractors
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Empire Media Group. You are an independent party, and neither party has authority to bind the other.
15.7 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated in the Indemnification section regarding Indemnified Parties.
15.8 Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
15.9 Language
These Terms are drafted in English, which shall be the controlling language in all respects. Any translations are provided for convenience only.
16. TAXES AND FEES
16.1 Your Responsibility
You are solely responsible for all taxes, fees, duties, and assessments related to your redemption and use of the Gift Card and any services purchased. The Gift Card value does not cover taxes, and you must pay applicable sales tax, use tax, VAT, or other taxes on the full retail value of services before the Gift Card discount.
Example: If you purchase $1,000 in services, sales tax will be calculated on the full $1,000 (not on the $500 you pay after the Gift Card discount).
16.2 Tax Reporting
Depending on your jurisdiction and the value of services received, you may have tax reporting obligations. You are solely responsible for determining and fulfilling any tax reporting requirements. Empire Media Group may issue tax forms (such as Form 1099) if required by law.
17. NO RESALE OR UNAUTHORIZED USE
17.1 Prohibition on Resale
The Gift Card may not be resold, auctioned, listed on third-party marketplaces, or otherwise commercialized. Any attempt to sell or transfer the Gift Card for monetary consideration will result in immediate cancellation.
17.2 Unauthorized Marketplaces
Gift Cards obtained from unauthorized sources (including but not limited to online marketplaces, auction sites, coupon sites, or third-party sellers) are not valid and will not be honored. We are not responsible for fraudulent or invalid Gift Cards purchased from third parties.

19. PROMOTIONAL PARTNER DISCLAIMER
19.1 Independent Contractors
Any affiliates, marketers, partners, or third parties promoting this Gift Card offer are independent contractors and are not employees, agents, or representatives of Empire Media Group. They have no authority to bind Empire Media Group or make representations on our behalf.
19.2 Third-Party Actions
Empire Media Group is not responsible for any actions, statements, representations, or conduct of affiliates, marketers, partners, or third parties promoting this offer. You agree to hold Empire Media Group harmless from any claims arising from third-party promotions.
19.3 Verification Required
If you received this Gift Card offer through a third party, Empire Media Group reserves the right to verify the legitimacy of the promotion before honoring the Gift Card.
20. ELECTRONIC COMMUNICATIONS
20.1 Consent to Electronic Communications
By claiming the Gift Card, you consent to receive communications from Empire Media Group electronically, including via email, SMS, push notifications, and through our website. Electronic communications satisfy any legal requirement for written communications.
20.2 Opt-Out
You may opt out of promotional communications at any time, but you may not opt out of transactional or service-related communications regarding your Gift Card or orders.
21. MISCELLANEOUS RESTRICTIONS

Services purchased with the Gift Card are intended for legitimate business purposes only. Empire Media Group reserves the right to reject orders that appear to be for personal, resale, or fraudulent purposes.
21.2 Sanctioned Countries
The Gift Card offer is not available to individuals or entities located in, or subject to, U.S. economic sanctions or trade restrictions. You represent that you are not located in any such jurisdiction.
21.3 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Gift Card.
22. ACKNOWLEDGMENT AND ACCEPTANCE
BY CLAIMING, ACCEPTING, OR USING THE GIFT CARD, YOU ACKNOWLEDGE THAT:
You have read, understood, and agree to be bound by these Terms in their entirety
You meet all eligibility requirements
You understand the minimum purchase requirement of $800 and that the Gift Card cannot be stacked with other offers
You acknowledge all disclaimers, limitations of liability, and indemnification obligations
You agree to binding arbitration and waive your right to participate in class actions
You understand the Gift Card has no cash value and is non-refundable
You accept all risks associated with claiming and using the Gift Card
These Terms constitute a legally binding contract between you and Empire Media Group
23. SPECIAL NOTICE REGARDING LIABILITY PROTECTION
COMPREHENSIVE LIABILITY PROTECTION:
To the fullest extent permitted by law, you expressly agree that Empire Media Group, together with all parent companies, subsidiaries, affiliates, related entities, joint venture partners, strategic partners, marketing partners, advertising partners, promotional partners, distributors, resellers, technology providers, service providers, licensors, licensees, investors (including equity investors, debt investors, and all classes of shareholders), officers, directors, board members, advisors, consultants, employees, contractors, agents, representatives, successors, and assigns (collectively, the "Protected Parties") shall be fully released, discharged, and held harmless from:

The creation, distribution, or fulfillment of Gift Cards
Your claim, receipt, possession, or attempted use of the Gift Card
Any services or products purchased or not purchased with the Gift Card
Any statements, representations, or materials related to the promotional offer
Any technical errors, failures, delays, or interruptions
Any unauthorized access to or use of Gift Card codes
Any disputes with third parties related to the Gift Card
Any tax consequences or reporting obligations
Any violation of third-party rights
Any violation of laws or regulations
Any business losses, lost profits, or damages of any kind
INCLUDING BUT NOT LIMITED TO CLAIMS OF:
Breach of contract
Breach of warranty
Negligence or gross negligence
Fraud or misrepresentation
Unfair or deceptive trade practices
Violation of consumer protection laws
False advertising
Breach of fiduciary duty
Unjust enrichment
Conversion
Tortious interference
Intellectual property infringement
Invasion of privacy or data breaches
Emotional distress
Any other tort, statutory, or common law claims
